1. Introduction

Welcome to Pilot Prep Limited's learning management system ("Platform"). These Terms and Conditions govern your use of our Platform and all related services. By accessing or using our Platform, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing the Platform. Our Privacy Policy describes how we collect, use, and protect your information and is incorporated by reference into these Terms.

2. User Accounts

2.1 Registration

To use certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Pilot Prep Limited of any unauthorized use of your account or any other breach of security.

2.3 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

3. Educational Content

3.1 License to Use Content

Pilot Prep Limited grants you a limited, non-exclusive, non-transferable license to access and use the educational content within the Platform for personal, educational purposes.

3.2 Free Trial Access

Upon creating an account, you are granted limited access to trial our courses for free. This trial access provides a subset of our content to help you evaluate our services. Trial access may be time-limited or content-limited at our discretion, and we reserve the right to modify the trial terms without prior notice.

3.3 Aviation Syllabus

While our content is based on the New Zealand aviation syllabus, it is available for purchase and use worldwide. The content is designed to assist with pilot preparation but may need to be supplemented with region-specific requirements if you are preparing for licensing in another jurisdiction.

3.4 Assessment Results

Assessment results are provided for educational purposes only. While we strive for accuracy, we do not guarantee the accuracy of assessment questions, answers, or results.

3.5 No Professional Advice

The content provided in the Platform is for informational and educational purposes only and is not intended as professional aviation advice. Users should consult with qualified flight instructors and refer to the latest official aviation regulations and documentation for their jurisdiction.

4. User Conduct

4.1 Prohibited Activities

You agree not to:

• Use the Platform for any illegal purpose or in violation of any local, state, national, or international law

• Harass, abuse, or harm another person

• Impersonate another user or person

• Use another user's account without permission

• Attempt to circumvent any content-filtering techniques we employ

• Attempt to access any service or area of the Platform that you have not been authorized to access

• Develop or use any third-party applications that interact with the Platform without our written consent

• Use the Platform in a manner that could disable, overburden, damage, or impair the Platform

• Engage in any automated use of the system, such as using scripts to send comments or messages

4.2 User Contributions

Users may have the ability to submit questions, answers, feedback, or other content. You retain all rights to your content, but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your content in any existing or future media.

5. Intellectual Property

5.1 Ownership

The Platform and its original content, features, and functionality are owned by Pilot Prep Limited and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2 Restrictions

You are not permitted to:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or content obtained from the Platform

• Decompile, disassemble, or reverse engineer any portion of the Platform

• Remove any copyright or other proprietary notations from the materials

6. Purchases and Payments

6.1 Purchases and Access

Course access is sold as a one-time purchase. Each purchase grants access to the relevant course or product for the access period stated at the time of purchase, or, where stated, without an expiry date. We also offer free trial access (see Section 3.2) and seat licences for flight schools and groups.

6.2 Fees

All fees are specified within the Platform and are subject to change. Price changes do not affect access you have already purchased.

6.3 No Automatic Renewal

Purchases are one-time payments; we do not charge your payment method on a recurring basis. When your access period ends, your access expires unless you choose to make a new purchase. Nothing renews automatically.

6.4 Payment Terms

Payment is due at the time of purchase. We process payments through third-party payment processors. You agree to provide current, complete, and accurate payment information.

6.5 International Users

Prices are displayed in your local currency where possible, but all charges will be processed in New Zealand Dollars (NZD). Additional foreign exchange fees or taxes may apply depending on your country of residence.

6.6 Refunds

Purchases are for the full access period stated at the time of purchase. Our full refund policy is available within the Platform or upon request. Nothing in this section limits Section 11 (Consumer Guarantees).

6.7 Discount and Referral Codes

We may offer discount or referral codes from time to time. Codes are discretionary: we may set eligibility conditions and may vary, suspend, or revoke a code at any time. A referral discount applies once, to the first qualifying purchase made with the code recorded against the transaction, and cannot be combined with any other promotional code. The discount recorded at the time of purchase is final.

6.8 Additional Programme Terms

Participation in certain programmes, including our instructor affiliate referral programme and group or flight-school seat licences, is governed by separate agreements. If there is any inconsistency between these Terms and a separate programme agreement, the programme agreement prevails for that programme.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PILOT PREP LIMITED BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE PLATFORM, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES' RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE.

9. Aviation Specific Disclaimer

THE EDUCATIONAL MATERIALS PROVIDED ON THIS PLATFORM ARE NOT A SUBSTITUTE FOR PROPER FLIGHT TRAINING WITH A CERTIFIED INSTRUCTOR. PILOT PREP LIMITED DOES NOT GUARANTEE THAT COMPLETING OUR COURSES WILL RESULT IN PASSING ANY OFFICIAL AVIATION EXAMINATION OR OBTAINING ANY PILOT LICENSE. USERS ARE RESPONSIBLE FOR ENSURING COMPLIANCE WITH THEIR LOCAL AVIATION AUTHORITY'S REQUIREMENTS.

10. Indemnification

You agree to indemnify, defend, and hold harmless Pilot Prep Limited and our officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

11. Consumer Guarantees (New Zealand)

If you are a "consumer" under the Consumer Guarantees Act 1993 (New Zealand), nothing in these Terms excludes or limits your rights under that Act. Where our services are supplied for business purposes, the guarantees under the Consumer Guarantees Act 1993 do not apply.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes through the Platform or by other means. Your continued use of the Platform after such modifications constitutes your acceptance of the modified Terms.

14. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or guidelines referenced herein, constitute the entire agreement between you and Pilot Prep Limited regarding the Platform and supersede any prior agreements.
